Terms of Service
Version 2026-10-01 — effective 01/10/2026
These Terms of Service (the "Terms") form a binding agreement between [to be completed: company legal name], a [to be completed: legal form] registered with the Department of the Registrar of Companies and Intellectual Property of the Republic of Cyprus under number [to be completed: company registration number], with its registered office at [to be completed: registered office address] ("Buildano", "we", "us"), and the business that creates a Buildano account (the "Customer", "you").
They govern your use of the Buildano construction-management software, including the web application, the client portal, the contributor area, the website calculator, the mobile app and any related services (together, the "Service"). Our Data Processing Agreement forms part of these Terms. Our Privacy Policy and Cookie Policy explain how we handle personal data and cookies.
1. Business customers only
1.1. The Service is offered exclusively to businesses — companies, partnerships and self-employed professionals — for purposes relating to their trade, business, craft or profession. By accepting these Terms you confirm that you are acting in that capacity and not as a consumer. Consumer-protection rules that apply only to consumers (including the right of withdrawal for distance contracts under Directive 2011/83/EU and its Cypriot and Greek implementing laws) therefore do not apply to this agreement.
1.2. The person accepting these Terms confirms that they are authorised to bind the Customer.
2. Definitions
- "Account": the Customer's organisation on the Service.
- "User": an office user of the Customer (owner, estimator or view-only) added to the Account. Users count towards the plan's user limit.
- "External Participants": the Customer's clients, subcontractors, architects, suppliers and other people the Customer invites to the client portal or contributor area, and visitors to the Customer's website calculator. They do not count towards the user limit and are not parties to these Terms.
- "Customer Data": all data and content the Customer, its Users or External Participants submit to the Service, including project, financial and personal data.
- "Plan": the subscription tier (Starter, Pro or Business) and any add-on (such as the AI add-on) the Customer has chosen.
3. Your Account
3.1. You must give accurate company and contact details and keep them up to date.
3.2. You are responsible for everything done through your Account, for choosing who becomes a User and with which role, for keeping passwords confidential and for telling us promptly at info@buildano.eu about any unauthorised use.
3.3. You are responsible for the External Participants you invite and for giving them any information required by law (see section 7).
4. Plans, free trial, prices and payment
4.1. Plans. The features and limits of each Plan (number of Users, active projects and included features) are shown in the Service under Settings → Billing and on our website. If you exceed a limit, you will be asked to archive projects, remove Users or upgrade; we do not delete data because a limit is reached.
4.2. Free trial. Your first Plan starts with a free trial of 14 days. No payment card is needed to start it. If no payment method has been added by the end of the trial, the subscription ends automatically and the Account becomes read-only (section 4.7). One trial is available per Customer.
4.3. Prices. Prices are stated in euro and exclude VAT and other indirect taxes, which are added at checkout where applicable.
4.4. Payments through Stripe as merchant of record. Subscriptions are sold and billed through Stripe's "Link" service, which acts as merchant (seller) of record for the payment transaction. This means that Stripe (currently through its affiliate Sold through Link, LLC and its acquiring affiliates) collects the payment, calculates and remits the applicable VAT, issues the invoices and receipts, handles payment disputes, and may assist with refund and transaction-support requests. Your payment is also subject to the terms presented by Stripe/Link at checkout. We never receive or store your full card details. The charge appears on your statement as "LINK.COM*" followed by our descriptor. Where we agree in writing to invoice you directly instead, our invoices are payable within 14 days.
4.5. Billing cycle and renewal. Plans are billed in advance, monthly or yearly as you choose, and renew automatically for the same period until cancelled. Additional Users on the Business Plan are billed pro rata for the remainder of the current period.
4.6. Cancellation. You can cancel at any time under Settings → Billing → Manage billing, or through your Link account. Cancellation takes effect at the end of the paid period; you keep full access until then. Fees already paid are not refundable, except where mandatory law requires otherwise or where we (or Stripe/Link, as merchant of record) grant a refund.
4.7. Non-payment. If a payment fails, we and Stripe will retry it for a period and notify you. If it remains unpaid, the subscription ends and the Account becomes read-only: you and your Users can still sign in, view and export all Customer Data, but cannot create or change content until a Plan is active again.
4.8. Price changes. We may change our prices with at least 30 days' notice by email and in the Service. New prices apply from your next renewal after the notice period. If you do not agree, you may cancel before the change takes effect.
5. Our Service
5.1. We will provide the Service with reasonable skill and care, in accordance with good industry practice, and will use reasonable efforts to keep it available at all times, except for planned maintenance (announced in advance where practicable) and events outside our reasonable control.
5.2. We may develop and change the Service. We will not make a change that materially reduces the core functionality of your paid Plan during the current billing period without your agreement; if we materially reduce it at renewal, we will tell you at least 30 days in advance and you may cancel.
5.3. Support is provided by email at info@buildano.eu during normal business hours in Cyprus and Greece, in Greek or English.
6. Your data
6.1. Ownership. You retain all rights in the Customer Data. You grant us a non-exclusive, worldwide, royalty-free licence to host, copy, process, transmit and display the Customer Data only as needed to provide, secure and support the Service for you, and as otherwise instructed by you.
6.2. Processor role. For personal data contained in Customer Data, you are the controller and we are your processor. The Data Processing Agreement applies and prevails over these Terms on data-protection matters.
6.3. Your responsibilities. You are responsible for the lawfulness, accuracy and content of Customer Data, for having a legal basis to process the personal data you put into the Service, and for the tax, accounting and legal documents you produce with it.
6.4. Backups. We keep regular backups for disaster recovery. They are not a substitute for your own exports; you can export your data at any time (section 12).
6.5. Aggregated data. We may use anonymous, aggregated usage statistics that do not identify you, your Users or any individual, to operate and improve the Service.
7. External Participants, client portal and website calculator
7.1. When you invite clients or contributors, or place the website calculator on your website, you do so as the controller of their personal data. You must provide them with your own privacy information (GDPR articles 13–14). You can add a link to your privacy policy under Settings → Organization; the portal and calculator show it.
7.2. External Participants use the portal or contributor area under your responsibility. You must revoke access that is no longer needed.
8. Acceptable use
You must not, and must ensure your Users and External Participants do not:
- use the Service in breach of any law, including data-protection, consumer, tax, competition and intellectual-property law;
- upload content that is illegal, infringing, defamatory, or that contains malware;
- try to access other customers' data, probe or bypass security or limits, or interfere with the Service's operation (including excessive automated requests);
- copy, decompile, reverse-engineer or create derivative works of the Service except as permitted by mandatory law;
- resell, sublicense or provide the Service to third parties other than your External Participants;
- use the Service to send unsolicited commercial communications; or
- upload special categories of personal data (such as health data) unless this is necessary for your project and lawful.
9. Professional tools, not professional advice
9.1. The Service helps you measure, estimate, schedule, invoice and communicate. Quantities, bills of quantities, estimates, reference prices, schedules, forecasts, weather data and reports are generated from the data you enter and from configurable rules. You must check them before relying on them. They are not engineering, architectural, legal, accounting or tax advice.
9.2. Invoicing and myDATA. You remain solely responsible for the content of invoices and other tax documents, for your tax and accounting obligations and for any transmission to the Greek Independent Authority for Public Revenue (AADE / myDATA) made with your credentials.
9.3. Electronic acceptance. Quote and change acceptances in the client portal record the signer's name, time, IP address and browser. This is a simple electronic signature within the meaning of Regulation (EU) No 910/2014 (eIDAS). It is not a qualified electronic signature. You decide whether it is suitable for a given contract.
10. AI add-on
10.1. The optional AI add-on (AI estimates and AI plan takeoff) uses a third-party large-language-model provider, currently Anthropic, PBC, as our sub-processor. AI features are clearly labelled in the Service. You are informed that their output is generated by an artificial-intelligence system.
10.2. AI output may be incomplete or wrong. You must review it before use, and you remain responsible for any quote, document or decision based on it.
10.3. Under our agreement with the provider, the content sent for AI processing is not used to train its models and is deleted by the provider within a limited period (currently 30 days), unless retained for abuse monitoring or where required by law.
10.4. The AI add-on includes a monthly allowance of AI credits, shown in Settings → Billing. It resets on the first day of each calendar month (UTC), and unused included credits don't carry over. When the allowance is used up, AI features pause until it resets, unless you buy an extra credit pack. Extra credits are used only after the monthly allowance, don't expire, can be used only while the AI add-on is active, have no cash value and are non-refundable except where the law requires otherwise.
11. Third-party services
The Service connects to third-party services that you choose to use: your own Stripe or Viva Wallet account for collecting payments from your clients, AADE myDATA, and weather data. Your use of those services is governed by your agreements with their providers, which are not our sub-contractors when acting for you under your own account. We are not responsible for their availability or acts.
12. Data export, switching and end of the agreement
12.1. Export at any time. While your Account exists, owners can export the Customer Data in a structured, commonly used, machine-readable format (JSON), and documents in PDF or Excel where available, under Settings → Organization.
12.2. Switching (EU Data Act). In line with Chapter VI of Regulation (EU) 2023/2854 (Data Act), you may ask to switch to another provider or to your own infrastructure, or to delete your data, by giving notice of no more than two months. After that notice we will provide reasonable assistance and make all exportable data (all Customer Data, including metadata created by your use of the Service, but excluding our software and our confidential information) available for at least 30 days (the transitional period, which you may extend once for a longer period you consider appropriate). We do not charge for switching or data export. The agreement ends when switching is completed or, if you only asked for deletion, at the end of the notice period.
12.3. After termination. Once the agreement ends, the Customer Data remains available for export for a retrieval period of 30 days. After that we delete it from the live systems, and from backups within a further 90 days, unless the law requires us to keep it. Billing records are kept as required by tax law (see the Privacy Policy).
13. Term, suspension and termination
13.1. This agreement starts when you accept these Terms and continues until terminated.
13.2. You may terminate at any time by cancelling your Plan and asking for the Account to be closed (Settings → Organization → Close company account, or by email).
13.3. We may suspend access, entirely or for particular Users, if this is reasonably necessary to prevent a security threat, a serious breach of section 8, or unlawful use. We will limit the suspension to what is necessary, tell you the reasons (unless the law prevents us), and lift it once the cause is resolved.
13.4. Either party may terminate the agreement by written notice if the other party materially breaches it and does not remedy the breach within 30 days of being asked to. We may also terminate for convenience with at least 90 days' notice, refunding any prepaid fees for the period after termination.
14. Intellectual property
The Service, its software, designs, documentation and trademarks belong to us or our licensors. We grant you a non-exclusive, non-transferable right to use the Service during the agreement for your internal business purposes, within your Plan. If you send us suggestions, we may use them freely without obligation to you.
15. Confidentiality
Each party will keep the other party's non-public information confidential, use it only for this agreement and disclose it only to staff, advisers and sub-contractors who need it and are bound by confidentiality, or where required by law. This obligation survives the end of the agreement for five years, and indefinitely for trade secrets and personal data.
16. Warranties
We warrant that the Service will materially perform as described in the Service's documentation. Apart from that, and to the extent permitted by law, the Service is provided "as is"; we do not warrant that it will be uninterrupted or error-free or that it will meet requirements you have not told us about.
17. Liability
17.1. Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, for fraud, for wilful misconduct or gross negligence, or any other liability that cannot be limited or excluded under applicable law (including article 332 of the Greek Civil Code where Greek law applies).
17.2. Subject to 17.1, neither party is liable for loss of profits, revenue, business or goodwill, or for indirect or consequential loss.
17.3. Subject to 17.1, each party's total liability arising out of or in connection with this agreement in any 12-month period is limited to the greater of (a) the fees paid and payable by the Customer for the Service in that period and (b) EUR 1,000. This limit does not apply to the Customer's payment obligations or to the indemnity in 17.4.
17.4. You indemnify us against third-party claims arising from Customer Data or from your or your Users' breach of section 8 or of the law, including claims by your clients or tax authorities regarding documents you issued.
18. Illegal content (Digital Services Act)
18.1. We host content on behalf of our customers and do not monitor it generally. Anyone may notify us of content they consider illegal through the contact point in our Legal Notice, explaining why they consider it illegal, where it is (for example a project or page), their name and email (except for notices about child sexual abuse material), and a statement that the notice is accurate and complete to the best of their knowledge.
18.2. We will acknowledge notices, handle them in a timely, diligent, non-arbitrary and objective manner, and inform the notifier of our decision. If we remove or restrict Customer Data, suspend a User or the Account, we will give you a statement of reasons (Regulation (EU) 2022/2065, article 17), and you can contest the decision by replying to it.
19. Changes to these Terms
19.1. We may amend these Terms to reflect changes in the law, in the Service or in our business. We will notify you of material changes at least 30 days in advance by email and in the Service, except where a shorter period is required by law or for security reasons.
19.2. An owner of your Account will be asked to accept the new version. If you do not accept, you may terminate before the change takes effect and we will refund any prepaid fees for the period after termination. Non-material changes (for example clarifications or new contact details) take effect on publication.
20. General
20.1. Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, such as natural disasters, war, epidemics, strikes, or failures of public networks or of third-party infrastructure providers, provided it takes reasonable steps to limit the effects.
20.2. Assignment. You may not assign this agreement without our consent. We may assign it to a company in our group or to a successor of our business, and will inform you.
20.3. Sub-contractors. We may use sub-contractors; we remain responsible for them. Sub-processors of personal data are listed here.
20.4. Notices. We send notices to the email address of the Account's owners. You send notices to info@buildano.eu.
20.5. Severability. If a provision is held invalid, the remainder stays in force and the invalid provision is replaced by a valid one that comes closest to its purpose.
20.6. Entire agreement. These Terms, the Data Processing Agreement and any written order form are the entire agreement between us about the Service.
20.7. Language. These Terms are available in English and Greek. Both versions have the same content; if there is a discrepancy, the English version prevails, except where mandatory law requires otherwise.
20.8. Governing law and courts. These Terms and any non-contractual obligations arising from them are governed by the laws of the Republic of Cyprus, excluding its conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the competent courts of Nicosia, Cyprus, without prejudice to mandatory rules of jurisdiction and to either party's right to seek urgent interim relief in any competent court.
